OKLAHOMA BEAD SOCIETY BY-LAWS

Article I - Name

The name of this organizations shall be Oklahoma Bead Society, a not for profit organization, also referred to as OBS.

Article II - Purpose

The Oklahoma Bead Society is an organization of bead artists who have joined together to enhance their skills and further their knowledge of the cultural, historical, functional and technical aspects of beads. The bead society also serve to promote the fine art of beaded jewelry, clothing and other beaded items.

Article III - Membership

1. The membership shall be composed of those persons paying annual dues and complying with the rules set forth by the bead society.

2. OBS is a non-discriminatory organization.

3. Potential members may visit two times before joining.

Article IV - Dues

1. The annual dues for OBS membership may be changed upon recommendation of the executive committee and a majority vote in accordance with article VIII.

2. Dues are due January 1 and are delinquent March 1, at which time the delinquent member will be dropped from membership.

3. New members joining after July 1 are eligible for a 1/3 discount of annual dues for the current year.

4. Additional family members (spouse or children residing at the same address) shall received a 1/3 discount on annual dues.

Article V - Officers

1. The elected officers of OBS shall be President, Vice President Elect/Newsletter,Secretary and Treasurer. These officers shall comprise the executive board.

2. The officers shall be elected annually at the November meeting. The slate of officers shall be presented by an elected nominating committee.

3. The term of office shall be January 1 to December 31.

4. Duties of officers:

   a. President: Preside at meetings, appoint committees with approval of the executive board, coordinate programs and show committees.

   b. Vice President: Preside in absence of President, assist Treasurer with membership, Keep current roster and coordinate orientation of new members. Assemble information for newsletter publish and distribute on monthly basis.

   c. Secretary: Shall record and preserve minutes of meetings, assist with correspondence and keep record of attendance.

   d. Treasurer: Keep accurate accounts of all funds, make monthly reports, and submit records for annual audit, chair membership with the assistance of the Vice President.

Article VI - Committees

1. The executive board shall be composed of the elected officers of OBS and shall be empowered to act on behalf of the OBS when such action shall be required between regular meetings. No other person shall speak for, make plans for, nor otherwise represent the Oklahoma Bead Society.

2. All committees shall be appointed by the president with the approval of the executive board.

3. The OBS board shall meet once a month. The OBS board will consist of the executive board and committee chairmen.

Article VII - Meetings

1. The annual meeting shall be held in November.

2. Regular meetings of OBS shall be held once a month.

3. Additional meetings may be called by the President or Executive Board.

Article VIII - Quorum

1. A quorum of executive board shall be three officers.

2. A quorum shall consist of one-third of the membership.

3. Approval of a majority of those members present at any meeting is necessary for the election of officers or to pass a motion.

Article IX - Disbursements

Any expenses exceeding $ 50.00 shall be approved by the executive board and membership.

Article X - Amendments

1. This constitution may be amended at a meeting of the OBS provided that the proposed amendment has been submitted in writing to the executive boards, and has been read at one regular meeting. Action may be taken upon a second reading at the next meeting following a suitable motion and second. A majority vote of those present is necessary to pass amendments.

2. The executive board is privileged to inform the members of its opinion of the amendments.

3. Upon adoption, the amendment immediately becomes part of this constitution.

Article XI - Limitation of Activities

1. Activities shall not involve preparation of dissemination of propaganda, attempts to influence legislation, or support of any political campaign for public office.

2. No part of club money shall accrue to the benefit of any m ember, director or officer.

3. No vendor shall receive preferential treatment.

Article XII - Distribution of Assets at Dissolution

Should OBS be dissolved, any money or property then owned shall be given to a charitable or educational organization as the executive board shall decree.

Article XIII - Parliamentary Authority

Robert's Rules of order, revised, shall govern the proceedings, not already stated in these by-laws.



Oklahoma Bead Society Standing Rules

The following standing rules are a guide to the functioning of Oklahoma Bead Society, also referred to as OBS. The executive committee may review these rules at any time and recommend changes (see standing rule V.) These standing rules may be revised and updated as often as necessary to reflect changes in a timely manner.

Standing Rule I - Dues

The annual dues for OBS shall be $ 20.00. Dues are payable to OBS and sent to the treasurer.

Standing Rule II - Meetings

ONS meetings shall be held the first Wednesday of the month at 6:30PM at the Brookside Library.

Standing Rule III - Classes or workshops

Members have first priority to all shows. Non-members may participate for an added $ 5.00 fee when space is available. Payable in advance. Refunds may be made only if there is a waiting list.

Standing Rule IV - Shows

Members have first priority to all shows. Non-members may participate for an additional $ 15.00 if space is available.

Standing Rule V - Revision of or amendment to standing rules

Revisions of or amendments to the standing rules shall be made by a committee appointed by the President and approved by the executive board. This committee shall study the need for revisions or amendments and make suitable proposal(s) to the executive committee. Changes must be approved by a majority of the executive board.
